Enterprise Agreement

1. Introduction

This Enterprise Agreement establishes the terms under which enterprise customers access OpenEduCat products and services. It works in conjunction with specific order forms, statements of work, and product-specific terms to form the complete agreement between the parties.

2. Products and Services

This agreement covers: OpenEduCat Enterprise Edition software, professional services including implementation and consulting, training programs, technical support, and any additional products or services specified in order forms.

3. Customer Obligations

Customer agrees to: provide necessary access and resources for service delivery, designate authorized representatives for communications, comply with all applicable laws in using the services, maintain confidentiality of access credentials, and make timely payments as specified.

4. Data Processing

When processing customer data, OpenEduCat acts as a data processor on behalf of the customer. We implement appropriate technical and organizational measures to protect data. Data processing is governed by our Data Processing Agreement, which is incorporated by reference.

5. Service Level Agreement

Enterprise customers receive service level commitments as specified in the SLA addendum. This includes uptime guarantees for hosted services, support response times, and remedies for service level failures. SLA terms vary by subscription tier.

6. Indemnification

OpenEduCat will indemnify customer against third-party claims that the software infringes intellectual property rights, subject to limitations. Customer will indemnify OpenEduCat against claims arising from customer's use of the services in violation of the agreement or applicable law.

7. Term and Termination

This agreement remains in effect while any order form is active. Either party may terminate for material breach with 30 days written notice. Upon termination, customer's access to services ceases, and customer must delete software and return confidential information.

8. General Provisions

This agreement constitutes the entire agreement between the parties. Amendments must be in writing. Neither party may assign without consent. Failure to enforce any provision does not waive future enforcement. If any provision is unenforceable, the remaining provisions remain in effect.
